Welcome to Passport.io, a secure blockchain platform for digital identity management. These Terms of Service (“Terms”) govern your use of Passport.io’s services to establish and verify your personal identity. Please read them carefully, as they constitute a binding agreement between you and Passport.io (“us,” “we,” “Passport.io”). By clicking agree, or by accessing or using the Passport.io site, you hereby agree to be bound by these Terms, and you represent and warrant that you are at least 18 years of age and have the right, authority, and capacity to enter into these terms on your own behalf. Note that these terms contain clauses that require you to use arbitration on an individual basis and limit the availability of certain remedies in the event of a dispute between us and you.
Creating and Using an Account
In order to create and maintain an account with Passport.io, you represent and warrant that you: (1) are at least 18 years of age; (2) have the capacity to enter into a legally binding agreement; (3) are a legal resident of one of the countries where the Passport.io service is currently offered; and (4) your intended use of the Passport.io service complies with all applicable laws and regulations.
As part of creating your account, you will be asked to provide information including your name and address. You may also be required to provide copies of your government issued ID or other documents to prove your identity. This information must be true, and you authorize us to take whatever actions we deem necessary (including, without limitation, accessing public records related to your information or transmitting to our third party partners who may have knowledge of you) to verify of the accuracy of any information submitted in conjunction with your account. You also agree to provide us with reasonable assistance in verifying such information upon our request. Using a false identity or impersonating another individual will be grounds for immediate cancellation of your account.
The information you provide to us must be kept accurate at all times and you agree to update us about any changes to your information within five (5) business days of when they occur. To the maximum extent permitted by law, we will have no liability from your failure to maintain accurate account information.
You are solely responsible for safeguarding your Passport.io credentials and maintaining the integrity of your account. You will be held accountable for any and all activities under your account, regardless of whether or not you authorized them. If you suspect the security of your account has been compromised by loss, theft, or unauthorized use, you must immediately- but in no event later than twenty four (24) hours after you discover it- notify us and take any and all other reasonably practicable actions to regain sole control of your account.
By creating a Passport.io account, you acknowledge and agree that we will have the right to share certain information about you with third parties. In particular, the name you provide us and your geographical information will be made be in publicly available records. You additionally agree that we may provide other information you provide us at sign up, or that we gather during your use of your Passport.io account, to our third party partners. Any such disclosures shall be made pursuant to our Privacy Policy.
You will be assigned a TrustScore based on our review and verification of your personal information. This TrustScore may change based on your behavior and actions as you use your Passport.io account, and your current TrustScore will be publicly available at all times. By creating and maintaining an account, you consent to our public display of your TrustScore.
Security and Data Privacy
Any personal information we collect about you while you access our website or use the Passport.io service is governed by our Privacy Policy. The Privacy Policy describes how we collect, use, share, and protect your personal information. By creating an account or otherwise signaling your agreement to these terms, you are also expressly agreeing to the Privacy Policy.
Prohibited Conduct
While using the Passport.io service, you shall not:
Violate any provision of these Terms, or any provision of an agreement between you and any third party;
Violate any law, court order, or government regulation, including without limitation any laws regarding terrorism funding or money laundering. Passport.io reserves the right to report the details of any activity, as well as any user associated with such activity, it suspects of being illegal in its sole discretion to the appropriate law enforcement or other government agency;
Attempt to access our system except as expressly permitted by these Terms, or attempt to interfere with, damage, disrupt, or impede the operation of our services and systems in any way;
Use Passport.io in a way that is fraudulent, defamatory, abusive, harassing, threatening, or obscene, or violates the rights of any third party;
Reverse engineer, disassemble, decompile, copy, clone, modify, distribute or commercially exploit in any way the Passport.io service or any portion thereof;
Transmit or facilitate the transmission of any malware, viruses, Trojan horses, or other program of a harmful or destructive nature;
Take any action that places an unreasonably large or disproportionate burden on our systems.
Use a webcrawler or similar automatic or manual techniques to monitor our website or to extract data from our service, including details about our users.
Intellectual Property
Except as expressly provided herein, we retain ownership of our intellectual property and all rights, titles, and interests herein. Nothing in these terms should be construed as granting you any right to use any of our trademarks, service marks, or logos.
We grant you a limited, revocable, non-transferable license to use the Passport.io service. In our sole discretion, we may suspend or terminate this license at any time, for any reason.
Third Party Sites and Services
While using Passport.io you may encounter links to third party content and/or third party sites, including those we link to or those of our third party partners who utilize our services or assist us in verifying the identities of our users. These sites are entirely independent of us, and we do not exercise any control over them. We do not necessarily agree with the views, opinion, or content of these third party sites, and the presence of such a link does not constitute an endorsement of the third party website. You expressly acknowledge and agree that by navigating to a third party website, you will be bound by their terms and conditions and privacy policy, and we do not represent or warrant the quality, reliability, safety, accuracy, or completeness of such third party sites. All links are provided “AS IS” and solely for your convenience, and you use them at your own risk. We are not liable to you, or to any third party, in any way, for any losses, damages, costs or other expenses arising from your use of third party services or content.
Modification and Termination of this Agreement
We may modify this Agreement at any time for any reason. Although we will attempt to notify you of any changes fifteen (15) days before they take effect, it is ultimately your responsibility to monitor the Passport.io Terms of Service page regularly for updates and changes. If you do not agree to any changes that have been made to this Agreement, you must immediately stop using the Passport.io service. Your continued use after the effective date of any changes will be deemed to constitute acceptance of the new terms.
We reserve the right to immediately terminate this Agreement and your use of the service at any time for any reason. Such termination shall be in our sole discretion. If we terminate your use of the service under this Agreement, you may not re-register for the Passport.io service in the future.
You may terminate this Agreement by sending a written request to info@passport.io. Such termination shall become effective within five (5) business days of our receipt of the request. Should you choose to terminate this Agreement, you may register for a new Passport.io account at any time.
General Legal Provisions
Notice. All notices under this Agreement will be sent to you via the email address associated with your account, and will be deemed to have been given as of the first business day after the date sent.
Limitation of Liability. UNDER NO CIRCUMSTANCES, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE, WILL WE OR OUR AFFILIATES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, RELIANCE, OR EXEMPLARY DAMAGES THAT RESULT FROM THIS AGREEMENT, EVEN IF A PARTY OR ITS AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WE OR OUR AFFILIATES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT (WHETHER IN CONTRACT OR TORT, INCLUDING NEGLIGENCE, WARRANTY, OR OTHERWISE) EXCEED ANY AMOUNTS PAID IN CONNECTION WITH OUR PERFORMANCE UNDER THIS AGREEMENT.
Disclaimer of Warranties. We make no warranties, either express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, and non-infringement. You expressly understand and agree that your use of the Passport.io service is “as is” and “as available.” Your use is at your own discretion and risk. We do not warrant that the Passport.io service will be error free, uninterrupted, or secure; that any defects or errors will be corrected, or that the Passport.io service is free of viruses or other harmful components. Any content or data delivered at your request is obtained at your own risk, and you will be solely responsible for any damage to your property or loss of data that may result. We do not warrant the results of use of the Service in any way.
Force Majeure. We shall not be liable to you or any other party if we are delayed or unable to fulfill any of our obligations in this Agreement due to an event beyond our reasonable control, including but not limited to acts of God, strikes, labor disputes, war, terrorism, riots, acts of civil or military authority, economic instability, power outages, fire, flood, theft, equipment breakdowns, hacking attacks, internet connection unavailability, internal mechanical or systems failures.
Indemnification. You agree to indemnify and hold us, our subsidiaries, affiliates, agents, directors and employees harmless from and against any losses, costs, liabilities and expenses, including attorneys’ fees, arising out of any claims related to your breach of these Terms, any alleged violation or infringement of any copyright, trademark, trade name, or any other intellectual property, or any other claim about the you, or your performance under these Terms.
Relationship Between the Parties. These Terms shall not be construed to create a partnership, joint venture, or other business enterprise between the parties.
Assignment. These Terms, and any rights and licenses transferred hereunder, may not be transferred, assigned, or delegated by you. We reserve the right to assign our rights, licenses, and duties under these terms to its affiliates at any time without prior approval from you.
Severability. If any provision contained in these Terms is determined to be invalid, illegal, or unenforceable in any respect under any applicable law, then such provision will be severed and replaced with a new provision that most closely reflects the original intention of the parties, and the remaining provisions of this Agreement will remain in full force and effect.
Waiver. Failure by us to exercise or enforce any provision of these Terms shall not be deemed to be a waiver of future enforcement of those or any other rights under these Terms.
Construction. Section headings are for convenience only.
Official Language. The official language of these terms is the English language. Any translations are provided for your convenience only, and in the case of any conflict or ambiguity between the English version of these terms and any other version of this terms in a different language shall be resolved based on the English version.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to principles of conflicts of law. Any action at law or in equity arising out of or relating to this Agreement will be filed only in the state or federal courts in and for San Francisco, California. Licensor hereby consents and submits to the exclusive jurisdiction of such courts for the purpose of litigating any such action.
Disputes. Any dispute under this Agreement will be privately negotiated in good faith between the parties within forty-five (45) calendar days commencing upon written notice from one party to the other. If the parties fail to privately resolve any dispute, the parties shall submit to binding arbitration performed by a mutually agreed upon arbitration provider in San Francisco, California. The Federal Arbitration Act and federal arbitration laws apply to these Terms. To the extent permitted by law, you are giving up your right to go to court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. An arbitrator can award on an individual basis the same damages and relief as a court, but arbitration procedures (such as, for example, discovery may be simpler and more limited than comparable rules in court.
You and Passport.io agree that all disputes will be resolved on an individual-- rather than a class, consolidated, or representative-- basis. Should a proceeding take place in court for any reason, both you and Passport.io waive any right to a jury trial.
